Roofcast — Legal & Platform Framework

Welcome to the platform of Roofcast B.V., a Dutch private limited liability company (besloten vennootschap), with a business address at Branderijstraat 55, 5223 AS ’s-Hertogenbosch, the Netherlands (“Roofcast,” “we,” “our,” or “us”). Roofcast is a forecasting, research, and community platform focused on real estate market sentiment, forecasting accuracy, and analytical discussion (the “Platform”). By accessing or using the Platform, users agree to the Roofcast Beta Pilot Program Terms and our General Terms of Service (the “Terms”) as set forth below.

Please note that the Roofcast Beta Pilot Program Terms set forth below apply solely during the period in which Roofcast operates the Beta Program, as defined hereinafter. To the extent there is any conflict, inconsistency, ambiguity, or difference between the Beta Pilot Program Terms and any provision of the General Terms of Service, the Beta Pilot Program Terms shall control and prevail with respect to all participation in the Beta Program. Upon termination of the Beta Program, the Beta Pilot Program Terms shall cease to apply, except to the extent that any provision expressly survives termination by its nature, and the Terms shall thereafter govern continued access to and use of the Platform.

1. Roofcast Beta Pilot Program Terms

a. Beta Program Status

The Roofcast platform is currently being made available as a limited-access beta program for testing, research, product development, forecasting experimentation, market-sentiment analysis, and community engagement purposes only (the “Beta Program”). The Beta Program is experimental in nature. Features, forecasting methodologies, scoring systems, rankings, content, user interfaces, and other platform functionality may change, be suspended, or be discontinued at any time without notice. Roofcast makes no representation that any aspect of the Beta Program will continue to be available in the future.

b. No Financial Products or Trading Activity

Roofcast does not offer, facilitate, operate, broker, clear, settle, list, match, execute, or otherwise provide access to: futures contracts; options contracts; swaps; commodity interests; event contracts; derivatives; securities; investment contracts; brokerage services; or any other regulated financial product. The Beta Program is solely an informational forecasting platform that aggregates user opinions, forecasts, estimates, and market sentiment. Participation in the Beta Program does not constitute investing, trading, hedging, speculation, risk-transfer activity, or participation in any financial market.

c. No Monetary Value

All virtual balances, points, rankings, scores, badges, achievements, reputation indicators, and other platform metrics are fictional and exist solely for entertainment, research, and community-engagement purposes. Such items have no monetary or market value; are not (your) property and are not deposit accounts; are not securities; are not commodity interests, and are not financial assets. Furthermore, such items may not be sold, transferred, exchanged, or pledged, and cannot be redeemed or converted into cash, cryptocurrency, goods, services, discounts, rewards, or anything else of value. Users acquire no ownership rights in any virtual balance, score, ranking, or platform status. Roofcast may modify, reset, remove, or discontinue any virtual balance, score, ranking, or platform metric at any time.

d. No Consideration Required

Participation in the Beta Program is free and no user is required to pay money or provide any financial consideration, purchase goods or services, or to make a deposit, fund an account, or maintain an account balance, in order to participate in any forecasting activity or ranking system made available through the platform.

e. Forecasting Activities

Forecasts available through the platform are intended solely to collect and measure user expectations and opinions concerning potential future events and trends. Forecasts represent user-generated opinions only. Roofcast does not represent that any forecast, analysis, probability, ranking, sentiment indicator, analytical model, or forecast outcome is accurate, reliable, complete, or suitable for any purpose.

f. No Professional Advice

Nothing on the platform constitutes investment, financial, legal, tax and/or brokerage advice and Roofcast does not provide any consulting services in any of these fields. Users should not rely upon platform content, rankings, sentiment indicators, forecasts, analytical discussions, or other information when making investment, lending, insurance, legal, business, or real-estate decisions.

g. Pilot Recognition Program

During the Beta Program, Roofcast may recognize certain users for participation, forecasting engagement, community contributions, research involvement, or platform feedback. Any recognition, badge, title, acknowledgment, or access privilege is promotional only, has no cash value, is non-transferable and is revocable and can be cancelled at Roofcast’s sole discretion. For avoidance of doubt, no user is entitled to compensation, prizes, rewards, compensation substitutes, or consideration of any kind by virtue of platform participation, forecasting performance, or leaderboard position.

h. Research and Analytics Activities

Users acknowledge that the Beta Program is intended in part to support forecasting research, market-sentiment research, platform development, scoring-model testing, product evaluation, user-behavior analysis, and statistical research. Roofcast may collect, analyze, aggregate, and de-identify forecasting activity, engagement information, and platform-usage information for these purposes as described in the Privacy Policy.

i. Regulatory Compliance Reservation

Roofcast reserves the right to modify, restrict, suspend, geofence, or terminate access to the Beta Program at any time for legal, regulatory, compliance, operational, or risk-management reasons. Roofcast may prohibit participation from any jurisdiction, state, territory, or category of users in its sole discretion.

j. User Acknowledgment

By participating in the Beta Program, you acknowledge and agree that (i) Roofcast is a play-money forecasting, research, and community platform and no real-money trading or wagering is offered, (ii) virtual balances and rankings have no monetary value, (iii) you are not entering into any financial transaction and you are not purchasing any financial product, (iv) you are not participating in any gambling, wagering, commodity-trading, derivatives-trading, or investment program, and (v) participation is solely for educational, informational, research, entertainment, and community purposes.

k. Relationship to Promotions

During the term of the Beta Program, Roofcast may conduct separate promotional campaigns, contests, sweepstakes, recognition programs, or similar initiatives (each, a “Promotion”), which may be governed by separate Official Promotion Rules. Participation in any Promotion is voluntary and subject to the applicable Official Promotion Rules in addition to these Roofcast Beta Pilot Program Terms and the Terms. Unless expressly stated otherwise in the applicable Official Promotion Rules, participation in a Promotion does not modify or affect the nature of the Platform under the Beta Program as a play-money forecasting, research, and community platform. During the Beta Program, any Promotion shall be administered in a manner consistent with these Beta Pilot Program Terms. To the extent an Official Promotion Rule conflicts with a provision of these Beta Pilot Program Terms, the Beta Pilot Program Terms shall control with respect to participation in the Beta Program unless the applicable Official Promotion Rules expressly state that a particular Promotion provision supersedes a Beta Program provision solely for purposes of that Promotion.

2. General Terms of Service

a. Eligibility

You may use the Platform only if you (i) are at least eighteen (18) years of age, (ii) have the legal capacity to enter into a binding agreement, (iii) are not prohibited from accessing the Platform under applicable laws or regulations, and (iv) provide complete and accurate account information. Roofcast may restrict, suspend, or terminate access to the Platform at any time in its sole discretion and for any lawful reason.

b. User Accounts

Users are responsible for maintaining the confidentiality and security of their account credentials and for all activity occurring under their accounts. Users may not (i) create multiple accounts, (ii) impersonate another person or entity, (iii) use automated systems, bots, scripts, or similar technologies except as expressly authorized by Roofcast in writing, or (iv) circumvent technical restrictions or security controls.

c. Platform Nature

The Platform is designed to facilitate forecasting, analytical discussions, community interactions, and market-sentiment research. Unless expressly stated otherwise by Roofcast, platform content, forecasts, rankings, probabilities, analytical outputs, sentiment indicators, and user-generated content are provided for informational purposes only. Nothing on the Platform constitutes investment advice, financial advice, legal advice, tax advice, brokerage services, valuation services, appraisal services, or any other professional advice. Forecasts available through the Platform are intended solely to collect and measure user expectations, opinions, and sentiment concerning potential future events and trends. Forecasts constitute user-generated opinions and are not statements of fact, investment recommendations, trading signals, valuations, appraisals, or professional advice. Roofcast does not represent or warrant that any forecast, probability estimate, ranking, sentiment indicator, analytical model, or forecast outcome is accurate, reliable, complete, predictive, or suitable for any commercial, investment, lending, underwriting, insurance, legal, or business purpose.

d. Platform Features

Roofcast may, at its sole discretion make available various features, tools, rankings, community functions, recognition programs, research products, subscriptions, educational materials, beta features, or promotional initiatives. Roofcast may modify, suspend, discontinue, substitute, or remove any such feature at any time without liability. Nothing in these Terms obligates Roofcast to maintain any specific feature, functionality, ranking system, competition, subscription offering, or promotional program.

e. User Content

Users retain ownership of content submitted to the Platform. By submitting content, users grant Roofcast a worldwide, non-exclusive, irrevocable, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, analyze, modify for formatting purposes, and otherwise use such content in connection with operation, improvement, promotion, research, moderation, and development of the Platform. Users represent and warrant that they possess all rights necessary to upload and use such content.

f. Prohibited Conduct

Users may not (i) violate applicable laws, (ii) engage in harassment or abusive conduct, (iii) post defamatory, fraudulent, deceptive, or misleading content, (iv) submit malware or harmful code, (v) interfere with platform operations, (vi) attempt to manipulate rankings, forecasting outcomes, user activity, or platform metrics, (vii) engage in coordinated misconduct or deceptive participation.

g. Moderation and Enforcement

Roofcast may investigate suspected misconduct and may remove content, limit visibility, suspend accounts, disqualify users from programs or competitions, or permanently terminate accounts. Roofcast reserves all rights regarding enforcement decisions.

h. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOFCAST DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RELIABILITY.

i. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOFCAST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, ADVISORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO THE PLATFORM, THE BETA PROGRAM, ANY FORECASTING ACTIVITY, ANY COMPETITION OR PROMOTION, OR THE USER TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

j. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ROOFCAST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, ADVISORS, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE PLATFORM, THE BETA PROGRAM, ANY FORECASTING ACTIVITY, ANY COMPETITION OR PROMOTION, OR RELIANCE ON FORECASTS, ANALYSES, OR PLATFORM CONTENT, OR PLATFORM INTERRUPTIONS, OR INABILITY TO PARTICIPATE, OR THE USER TERMS, SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100).

CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITIES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

In the event of any inconsistency between the liability limitations, damage exclusions, disclaimers, releases, or liability caps contained in the User Terms and any other applicable terms, such as the Official Promotion Rules, the provision that provides the greatest protection and the most extensive limitation of liability in favor of Roofcast shall govern and control to the maximum extent permitted by applicable law.

k. Regulatory Compliance

Roofcast may restrict or terminate access to the Platform in any jurisdiction and may modify platform functionality as necessary to comply with legal, regulatory, operational, or risk-management requirements.

l. Arbitration

Any dispute arising out of or relating to your use of the Platform and / or these Terms shall be resolved by binding arbitration pursuant to the Federal Arbitration Act, which shall govern the interpretation and enforcement of this arbitration agreement. The arbitration is to be held before a single arbitrator pursuant to the then-current Consumer Arbitration rules of the American Arbitration Association (the “AAA”) and conducted in the County and City of New York, State of New York. The arbitrator shall be jointly selected by the parties. If the parties are unable to agree upon the arbitrator, either party may request the AAA to select the arbitrator. Before beginning the proceedings, the appointed arbitrator must provide an oath or undertaking of impartiality. All arbitration proceedings shall be conducted on a confidential basis. Any award, order or judgment pursuant to such arbitration shall be deemed final and binding upon the parties and may be enforced in any court of competent jurisdiction. YOU UNDERSTAND THAT BY AGREEING TO SUCH BINDING ARBITRATION YOU ARE HEREBY WAIVING, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE USE OF THE SITE CONTEMPLATED HEREBY (WHETHER BASED ON CONTRACT, TORT OR ANY OTHER THEORY). EACH PARTY CERTIFIES AND ACKNOWLEDGES THAT (I) NO REPRESENTATIVE OF THE OTHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT THE OTHER PARTY WOULD NOT SEEK TO ENFORCE THE FOREGOING WAIVER IN THE EVENT OF A LEGAL ACTION, (II) IT HAS CONSIDERED THE IMPLICATIONS OF THIS WAIVER, (III) IT MAKES THIS WAIVER KNOWINGLY AND VOLUNTARILY, AND (IV) IT HAS DECIDED TO ENTER INTO THIS AGREEMENT IN CONSIDERATION OF, AMONG OTHER THINGS, THE MUTUAL WAIVERS AND CERTIFICATIONS IN THIS SECTION. You may opt out of this clause by sending us written notice to info@roofcast.com within 30 days of the date on which you first accept these Terms or, if these Terms are updated, within 30 days of the date on which you accept the updated version.

m. CLASS ACTION WAIVER

YOU AGREE THAT ANY DISPUTE BETWEEN US WHETHER RESOLVED THROUGH ARBITRATION, COURT PROCEEDINGS, OR ANY OTHER FORM OF DISPUTE RESOLUTION, SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. YOU FURTHER AGREE NOT TO BE A CLASS REPRESENTATIVE, CLASS MEMBER, OR OTHERWISE PARTICIPATE IN A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING AGAINST US FOR ANY DISPUTE. YOU ALSO AGREE THAT NO ARBITRATOR, JUDGE, OR OTHER DECISION-MAKER MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

n. Governing Law and Jurisdiction

The User Terms, including these Terms, the Roofcast Beta Pilot Program Terms and generally the relationship between you and us, shall be governed by the laws of the State of New York without regard to its conflicts of law rules. Except as provided herein as to those disputes submitted to arbitration pursuant to the Federal Arbitration Act, any other dispute must be brought in the state or federal courts of New York, New York. You expressly submit to the jurisdiction of such courts and waive any claims that such courts are an inconvenient forum.

o. Relationship to Promotions

From time to time, Roofcast may conduct promotions which may be governed by separate Official Promotion Rules published on our website. Participation in any Promotion is voluntary and subject to the applicable Official Promotion Rules in addition to these Terms. To the extent an Official Promotion Rule conflicts with these Terms, these Terms shall control unless the applicable Official Promotion Rules expressly state that a particular Promotion provision supersedes these Terms solely for purposes of that Promotion.
